Alliance of Sudanese Americans Organization (AOSAO)

 

The Alliance of Sudanese Americans Organization is a non-profit organization founded in 2006 in the state of Minnesota by refugees from Sudan to help our fellow refugees of the Nuba Mountains and the Darfur region.

 

Our Mission:

  • To provide food, shelter, clothing, and assist refugee families to self–reliance through orientation.
  • To unify the voice of the Alliance of Sudanese American Organizations everywhere to call attention to the human crises in the Nuba Mountains and the Darfur region in Sudan.
  • To promote conflict resolution and foster the advancement of the Sudanese internal refugees through education.

 

The Alliance of Sudanese Americans focuses on the predicament of the Nuba people and the Darfur region of Sudan. This involves supporting the activities of local humanitarian agencies in the Nuba Mountains and educating the international community about the Nubian cultural heritage. The Alliance of Sudanese Americans Organization (AOSAO) works with networks of international and local humanitarian organizations working for alleviation of suffering and elimination of poverty among the Nuba population in central Sudan.

 

Our Goals:

Our goals include a secure Nuba Mountain and Darfur region. In pursuit of these goals, we continue to live out our mission statement by conducting and participating in speaking engagements on university campuses, synagogues, churches and other receptive venues, and in rallies in cooperation with origination groups to advocate for peace divestment. We also participate in conferences that bring together Sudanese from the Nuba Mountain and Darfur region with the purpose of articulating our goals and holding informative workshops for student and their families.

Current Ongoing Programs:

1-     Community building and family strengthening by assisting refugees and displaced individuals and their families in adjusting to normal life.

2-     Family self–sufficiency programs aimed at moving refugee families to self reliance through orientation and captivation teaching refugees how to start small businesses with skills they already have and alerting them to education opportunities and support groups.

 

Planned AOSAO programs include the following:

3-     Access program, health care referral program and referrals to providers.

4-     AIDS / HIV education and prevention.

5-     Female circumcision education programs intended for refugee women and men healthcare providers, informing them about the harmful effects of female circumcision which is still practiced among the Nuba people

6-     Mental health programs targeting war-related psychological trauma through needs assessment, counseling and referral services.

7-     Youth programs including recreational and sports activities and events focusing on conflict resolution and self esteem.

ARTICLES   OF INCORPORATION AND BY–LAWS 02-10-2006

ARTICLE 1:  Name, Mission, Goals, and Programs

Name
The name of the organization shall be:
Alliance of Sudanese Americans Organization (AOSAO)
Or (any other suggested name) and shall be referred to hereinafter as the (AOSAO) and shall be a non-profit organization as specified under the laws of Minnesota

Mission

  3. -To promote conflict resolution, and foster the advancement of the Sudanese internal refugees through education.

ARTICLE II: MEMBERSHIP PROVISIONS

DETERMINATION AND RIGHTS OF MEMBERS
AOSAO shall have only one class of members no member shall hold more than one membership in AOSAO except as explicitly provided in or authorized by the articles of incorporation, the bylaws of  AOSAO , or provisions of law, all memberships shall have the same legal rights, privileges, restrictions and conditions,

ELIGIBLITY FOR MEMBERSHIPS
Memberships shall be open to any person of the age of majority in us (over 18 years of age) who support the mission, vision, purpose, and objectives in article 1, and meet the criteria outlined under each of the membership definition as specified herein.

MEETING OF MEMBERS
An annual meeting of the members for the election of the Executive Committee and for the transaction of other business shall be held during the first week of the month of January. The Executive Committee shall designate time and location .if the Executive Committee shall fail to call an annual meeting as required by the preceding article, any active member may, by written notice to the other active member call such an annual meeting

PLACE OF MEETING 
Meetings shall held at the principal office of the community association unless otherwise provided by the Executive Committee or at such other places as may be designated from time to time by the resolution of the Executive Committee

NOTICE OF MEETING
Written notice of any regular or special meeting of members shall be send by any carrier or e-mail to each active member at least fourteen days (14) days but not more thirty (30) days prior to such meeting. The Executive Committee can elect by majority to call for a special meeting in a shorter notice to accommodate time sensitive issues.

ARTICLE III EXECUTIVE COMMITTEE
Except for such powers as may be delegated by these by-laws to the officers of AOSAO, the policy matters of AOSAO shall be vested in its Executive Committee while the Executive Committee shall be charged with the management of the affair of AOSAO. No individual member of the Executive Committee  shall have the authority of making statement affecting AOSAO policy to the press or the other group except for such powers as may be delegated by these by-laws to the members of the Executive Committee  of the organization.

OFFICERS OF THE EXECUTIVE COMMITTEE
The Executive Committee shall be comprised of 5 members; Chairperson, Secretary, and 3 councilors. All members to serve on the Executive Committee shall be active member of AOSAO. Executive Committee members shall be elected to serve for a period of four years, and eligible for reelection up four consecutive terms. During times of vacancies due to removal or resignation, the acting Chairperson may appoint any of the members until such seat is filled by an elected member.

RESIGNATION OF EXECUTIVE COMMITTEE MEMBER 
Any Executive Committee member may resign at any time by giving written notice of such resignation within 30 days to remaining members of the Executive Committee  

REMOVAL OF MEMBERS OF EXECUTIVE COMMITTEE  
with the exception of the Chairperson, any member of the Executive Committee may be removed from office by the affirmative vote of a quorum of Executive Committee members present at a regular or special meeting for conduct detrimental to the interest of AOSAO for the lack of sympathy with its objectives, for refusal to render reasonable assistance in carrying out its purposes, or for being absent for three (3) consecutive meetings of the Executive Committee without justifiable case. Any such member proposed be removed from office shall be entitled to written notice of proposed action mailed fourteen (14) days prior to the meeting at which such removal is to be voted upon and shall be entitled to appear before and be heard at such meeting.

QUORUM OF THE EXECUTIVE COMMITTEE
Fifty percent (50%) of the existing members of the Executive Committee shall constitute a quorum.

 

COMPENSATION
Executive Committee members perform their duties in a voluntary manner unless the members vote with a 2/3 majority to otherwise compensate a member or more for a specific period of time with a specific amount.

Duties of the Chairperson
The Chairperson presides over all meetings of the Executive Committee. Conducts the meetings in an applicable manner as accepted by the regulations and laws set herein supplemented by the local meetings laws within the jurisdiction of the meeting’s location.  The Chairperson cannot vote unless his vote is required to break a tie in the votes or to achieve a required quorum. The chairperson will be required to call for meetings and prepare agendas and will be the person in charge of executing the Executive Committee resolutions and passed motions.  He will also maintain the rights to sign on behalf of the AOSAO on all documents, contracts, financial and bank transactions and other required documents to carry on the business of the organization.

 Duties of the Secretary
The Secretary shall act on all matters of AOSAO and execute the duties of the Chairperson in his/her absence. The Secretary shall attend all meetings of the Executive Committee, and standing committee and all meetings of the members and record all proceedings of the meetings of the members in a book to be kept for that purpose. The Secretary shall have custody of the corporate seal of AOSAO and he/she shall have authority to affix the same to any instrument requiring it and when so affixed, it may be attested by his or her signature.
The Executive Committee may give general authority to any other officer(s) to affix the seal of and to attest the affixing by his or her signature. In addition to keeping accurate minutes of the proceedings of the members Executive Committee, and committees of the Executive Committee the Secretary shall keep at the principal office of AOSAO a record of the names, addresses and telephone numbers of the members of AOSAO entitled to vote. Such information (addresses and members telephone numbers) shall at all times be kept and used specifically for AOSAO’s activities and treated as confidential by all members of the Executive Committee.

In general, the General Secretary shall all duties incident to the office of the Secretary and such other duties as may be required by law, by the Articles of Incorporation Association, or by these Bylaws, or which may be assigned to him or her from time to time by the Executive Committee
.
Duties of the Secretary of Treasury
The Treasurer shall have custody of AOSAO’s funds and securities, shall keep full and accurate amounts of receipts and disbursements, and shall keep correct and complete books and records of accounts. The Treasury Secretary shall deposit all moneys and other valuable effects in the name and to the credit of AOSAO in such depositories as may be designated by the Executive Committee. The Treasury Secretary shall render to the President and the Executive Committee at its regular meetings, or when the Executive Committee so requires, an account of all his/her transactions as treasury Decretory and of the financial conditions of AOSAO. The Treasury Secretary shall prepare and present Annual Statements of Account and budget to the Annual Meeting of members. The Annual Statements of Account and budget shall also be posted on the World Wide Web site of AOSAO.

In the absence of the Secretary of Treasury, the Deputy Secretary of Treasury shall perform all the duties pertaining.
The secretary of community development shall be charged with planning, organizing, and carrying out all community development activities for the enrichment of the membership and community at homeland. This secretariat might coordinate its plans and activities closely with those of the planning, and community development committee and Budget and Finance committee.
Education Committee
The Education Committee shall consist of no fewer than (4) members. It shall be charged with planning, organizing and carrying out all educational activities and other forums for enrichment of AOSAO’s membership. This Committee may coordinate its plans and activities closely with those of the social and Cultural Committee.
Planning and Community Development Committee

Terms of Office
Terms of office for chairpersons and members of the Standing Committees shall be for two years.
Article Financial Administration

  1. All expenditure shall have to be authorized by the President of AOSAO.
  2. All checks or demands for money shall be co-signed by the Treasury Secretary and the President of AOSAO.
  3. All funds of AOSAO shall be deposited in a bank or banks designated by the Executive Committee.

 

Record Dates
Where notice is required to be given to members, it shall be given as may be designated by the person giving such notice to the members who are members of records as of a date certain not more than thirty (30) days prior to the date the notice is given.
Article Amendments
These By – laws may be amended at any time by a majority vote of both members of the Executive Committee and Members of the Executive Committee in a joint session devoted for the amendment, provided, however, that any amendment that alters or affects the right of the members to elect, or remove, the Executive Committee, or any member of them, shall require the approval of a majority of the active general Assembly member.

Article: Purpose of IRC Section 501(c) (3)
1-AOSAO is organized exclusively as a non-profit organization for charitable and/or educational purposes, including such purposes, the making of distributions to organization  that qualify as exempt organizations under section 501 (c )(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
2- No part of the net earning of AOSAO, shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other purposes not permitted to be carried on:
a. By an organization exempt from federal income tax section 501 (c) (3)
Of the Internal Revenue Code, or corresponding section of any future federal tax code,
b. By an organization, contributions to which are deductible under 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code. Upon Dissolution of AOSAO, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c)( 3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state of local government, for public purpose. Any such assets not disposed of shall be disposed by the Court of Common Pleas of the county in which the principal office of the organization or organizations, as said Court shall determine which are organized and operated exclusively of such purposes.
